General Platform & Verification Terms
Governs all website visitors, prospective buyers, property seekers, and general users of PropaBridge.
Legal Entity & Platform Acceptance
These Terms of Service constitute a legally binding agreement entered into by and between you (whether personally as a visitor, buyer, or on behalf of an entity) and Zippatek Digital Ltd, a private limited liability company incorporated under the laws of the Federal Republic of Nigeria, trading as PropaBridge("Company", "we", "us", or "our").
By accessing propabridge.com, submitting property enquiries, using our digital property passport tools, or requesting verification reports, you unconditionally agree to comply with and be bound by these Terms and our NDPA-compliant Privacy Policy.
Verification Services, Zero Buyer Fees & Disclaimers
PropaBridge is an automated property trust and verification ecosystem active in Abuja, Kaduna, Minna, and expanding across Nigeria:
- Zero Inspection Fees for Buyers: PropaBridge does not charge prospective property buyers arbitrary inspection or mobilising fees to view verified properties.
- Physical ground-truthing: listed properties may be physically visited and GPS-tagged. Title and ownership sit outside this check. Instruct a Nigerian property lawyer to run a land-registry search and a court search in your own name.
- Risk Assessment Nature: While our AI verification and field audits provide unmatched transparency, they constitute an advisory risk-intelligence assessment and do not supersede statutory conveyance by legal practitioners or formal registration at government land registries.
Affiliate, Realtor & Partner Program Regulations
Strictly governs real estate agents, listing partners, affiliate realtors, and referral participants.
Strict Independent Contractor Relationship (No Agency, Partnership, or Employment)
The relationship between Zippatek Digital Ltd and any Affiliate, Realtor, or Partner is strictly and exclusively that of an independent contractor. Nothing contained in this Agreement or on the PropaBridge platform shall be construed as creating:
- An employment relationship, master-servant relationship, or labor contract of any kind.
- A partnership, joint venture, syndicate, or formal commercial consortium.
- An agency relationship or power of attorney empowering you to act for or on behalf of Zippatek Digital Ltd.
NO AUTHORITY TO BIND:You possess zero authority, right, or mandate to make representations, enter into binding agreements, issue guarantees, issue invoices in our name, incur liabilities, or execute contracts on behalf of Zippatek Digital Ltd. You are solely responsible for your own operating expenses, licensing, tools, and all statutory tax obligations (including personal income tax, withholding tax, and VAT) under applicable Nigerian tax statutes.
Strict Verification Standards & Absolute Prohibition Against Misrepresentation
Affiliates and listing partners are rewarded exclusively for bringing genuine, verified property listings and high-intent buyers. Maintaining the untainted integrity of PropaBridge is paramount. You agree to the following mandatory restrictions:
You shall never misrepresent property boundaries, zoning, land use designations, registered titles (such as Certificate of Occupancy, Governor's Consent, Gazette, or Excision), encumbrances, or pricing. Submitting fabricated deeds, counterfeit survey plans, or unauthorized listings is strictly prohibited and subject to criminal prosecution.
You shall NOT claim or guarantee to buyers or third parties that PropaBridge's AI verification constitutes an absolute state title guarantee, an insurance policy, or an infallible legal warranty. PropaBridge's automated and ground-truthed verification serves as an advanced risk-assessment tool, not a replacement for statutory land registry perfection.
You shall not spoof, falsify, or tamper with live field GPS coordinates, camera EXIF metadata, timestamp records, or physical verification survey data submitted through our software or field agents.
You shall not bid on PropaBridge trademarks in paid search campaigns (Google Ads, Meta Ads), register confusingly similar domain names, engage in spamming, or impersonate PropaBridge corporate staff on WhatsApp or other social channels.
Unilateral Termination & Absolute Payout Withholding Rights
Zippatek Digital Ltd reserves the unconditional, unilateral right to suspend, terminate, or revoke any Affiliate, Realtor, or Partner account, including active referral links and dashboard access, at any time, with or without prior notice, and for any reason or no reason whatsoever.
In any instance where the Company suspects, detects, or investigates any occurrence of fraud, deceit, unauthorized representations, document tampering, collusive buyer transactions, regulatory violations, or conduct detrimental to PropaBridge's commercial reputation:
- •The Company reserves the absolute right to freeze, withhold, and permanently forfeit any accrued, unpaid, or pending commissions without prior hearing.
- •The Company may retroactively claw back or offset commissions already disbursed if an underlying transaction is subsequently determined to be tainted by fraud or document forgery.
- •The Company reserves the right to report verified fraudulent actors to relevant Nigerian law enforcement agencies, including the Economic and Financial Crimes Commission (EFCC) and the Nigeria Police Force.
Aggressive Limitation of Liability & Disclaimers
To the fullest extent permitted by Nigerian law:
EXCLUSION OF CONSEQUENTIAL & INDIRECT DAMAGES:In no event shall Zippatek Digital Ltd, its shareholders, directors, officers, agents, employees, or contractors be liable for any indirect, incidental, punitive, exemplary, special, or consequential damages whatsoever, including but not limited to loss of expected profits, loss of anticipated revenue, loss of data, commercial interruption, lost deals, or reputational damage arising from or related to this Agreement, the Affiliate Program, or the operation of the PropaBridge platform.
ABSOLUTE CAP ON FINANCIAL EXPOSURE:The total, cumulative aggregate financial liability of Zippatek Digital Ltd to any Affiliate, Realtor, or User for any and all claims, disputes, or causes of action arising out of or related to this Agreement (whether in contract, tort including negligence, strict liability, or breach of statutory duty) shall be strictly capped at and shall not exceed the lesser of: (i) the total net commissions actually earned and disbursed to the Affiliate by PropaBridge in the thirty (30) days preceding the claim, or (ii) fifty thousand Nigerian Naira (₦50,000.00).
Indemnification
You agree to unconditionally defend, indemnify, and hold harmless Zippatek Digital Ltd, its directors, officers, employees, successors, and assigns from and against any and all claims, liabilities, judgments, settlements, penalties, fines, losses, damages, and expenses (including attorney fees and legal defense costs) arising out of or related to: (a) your breach of any term or representation in these Terms; (b) any fraudulent, deceptive, or inaccurate listing information, document, or media submitted by you; (c) any unauthorized claims or guarantees made by you regarding properties or our AI verification tools; or (d) your violation of any applicable Nigerian statutory law or third-party proprietary rights.
Governing Law & Dispute Resolution (Federal Republic of Nigeria)
This Agreement, its interpretation, and any dispute, claim, or controversy arising out of or in connection with it or its subject matter shall be governed exclusively by, construed, and enforced in accordance with the substantive laws of the Federal Republic of Nigeria.
The courts of the Federal Republic of Nigeria sitting in the Federal Capital Territory, Abuja or Lagos State shall possess sole and exclusive jurisdiction to hear and resolve any dispute, litigation, or legal proceeding arising under or in relation to this Agreement. You irrevocably waive any objection to venue or convenience of forum in said Nigerian courts.
